Background

The Allscripts Open App Challenge:

Allscripts launched the Open App Challenge to leverage the collective power of emerging innovations to create powerful new solutions that help solve some of the toughest problems in healthcare. The Open App Challenge encourages a broad community of developers and 3rd party vendors to “Start a Revolution” by designing and integrating applications that become an extension of Allscripts Open Electronic Health Records software.

The goal is to make it easier for healthcare providers to add new apps to their workflow to improve patient outcomes in a measurable way. The Challenge will feature awards ($750,000 in total awards, with the overall winner taking home $250,000) for apps focused on the management of high cost chronic diseases and value-based care imperatives.

The Challenge is part of a new $1 Million Health Innovation Program, which highlights the Allscripts Platform for Innovation. A parallel awards program for Allscripts clients will recognize innovative new approaches and/or applications that improve health outcomes.

The Allscripts Open App Challenge asks developers to create an application that fits into one of two categories:

  • Category A: The application improves management of high cost chronic diseases. Priority will be given to applications that help reduce costs and/or improve outcomes for the following chronic diseases: heart disease, diabetes, hypertension, stroke, pulmonary conditions (asthma/COPD), cancer and depression.
  • Category B: The application addresses certain value-based care imperatives. Priority will be given to innovation that provides clients with new tools they can use to make the transition to value based care for example, reduce 30-day readmission rates, improve transitions of care, deliver evidence-based guidelines to the point of care, enhance patient engagement (i.e. remote monitoring, self-management, healthy lifestyles), enable personalized medicine and/or population health analytics.

The Challenge has two phases with goals that correlate to successive stages in application development:

  • Phase 1: "Start a Revolution" - The goal of Phase 1 is to build and present a working prototype concept integrated or developed with the Sunrise suite of products or Enterprise or Professional Electronic Health Records. The application submitted does not need to be tested, sold or installed and its target participant does not need to have an existing relationship with Allscripts or an Allscripts client.
  • Phase 2: "Exceptional Outcomes" - The goal of Phase 2 is to have a code-complete, tested, and installed application and to demonstrate that the application has generated a positive clinical, financial or performance improvement outcome for an Allscripts client. Companies participating in Phase 2 of the challenge will join the Allscripts Developer Program, so that they may begin to offer and license these solutions to clients.

Throughout the Challenge, monthly multi-day in-person Developer Workshops will be held to:

  • Assist participants in development
  • Help refine applications for the Allscripts target client audience

Evaluation Criteria

Judges will select 15 winning submissions in Phase 1 of the competition and 5 in Phase 2 among all eligible entries based on the following evaluation criteria:

Phase 1 Scoring System:

  • Usability and design of application
  • Degree of development of model or prototype
  • Use of Allscripts APIs and standard SDK functionality
  • Demonstration of business plan to install and support application at Allscripts client
  • Innovation and unique qualities of application/integration
  • Mass appeal and potential for widespread adoption
  • Effectiveness of application to address one of the challenge categories for submission
  • Submission of 5 minute video demo of application/integration
  • Submission of <15 slide Powerpoint describing application, anticipated client benefits and value
  • Emphasis placed on new development that is not currently available in the market for Allscripts clients

Phase 2 Scoring System:

  • Demonstration of positive clinical, financial or performance management outcome by Allscripts client as a result of using partner application
  • Innovation and unique qualities of application/integration
  • Effectiveness of application to address one of the challenge categories for submission
  • Use of Allscripts APIs and standard SDK functionality
  • Usability and design of application
  • How measurable or concrete are the outcomes?
  • How transferable are the results?

The evaluation criteria for the Allscripts Open App Challenge includes an emphasis on development that is not currently available in the market for Allscripts clients – inspiring innovative developers to design and integrate applications that will help Allscripts clients solve the toughest problems in healthcare. So in the spirit of innovation, Allscripts are excited to announce that additional points will be offered for challenge submissions that are built on the Microsoft Windows 8 platform. If Windows 8 is already part of your vision for integration with Allscripts solutions, make sure to acknowledge that in your submission so it will be noted in the judging process.

Submission Requirements

The 'Registration Form' is Step 1 of 2 for entry into this challenge. By registering, you indicate your interest in participating in the Challenge and will automatically receive a 'Final Submission Form' upon registration. You must complete this 'Final Submission Form', including the required elements for the final submission, prior to the Challenge deadline. Your completed submission will be considered for judging only once this second form is received.

Eligibility:

  • This Challenge is open to US individuals and corporations for Enterprise and Professional application integration. The Challenge is limited to US corporations only for Sunrise application integration.
  • Phase 2 is open to any participant of Phase 1 who has signed the full Allscripts Developer Program agreement.

Submission must fall into one of the following categories:

  • Submissions for Phase 1 must be in the form of working prototype concepts. The application submitted does not need be tested, sold or installed and its target participant does not need to have an existing relationship with Allscripts or an Allscripts' client. Submissions should include one 5 minute video demonstration of the application/integration as well as a Powerpoint presentation (following this template ) of 15 slides or less describing the application, anticipated client benefits and value.
  • Submissions for Phase 2 must be code-complete, tested, and installed applications that demonstrate generation of positive clinical, financial, or performance management impact demonstrated by the Allscripts client as a result of using the partner application.

SPONSOR: The sponsor of this Challenge is Allscripts, Inc, a North Carolina Limited Liability Company, located at 224 Merchandise Plaza, Suite 2024, Chicago, IL 60654 ("Sponsor").

ADMINISTRATOR: The administrator of the Challenge is Health 2.0, LLC, 650 Delancey St, #221, San Francisco, CA 94107 ("Administrator").

CHALLENGE DESCRIPTION: Sponsor challenges each entrant to develop a software application (each an “Application”) that integrates with one of the following Allscript products: Sunrise Clinical Manager, Enterprise EHR and/or Professional EHR. Each Application must fall into at least one of the following categories:

  • Applications that improve management of high cost chronic diseases. These Applications help reduce costs and/or improve outcomes for the following high cost chronic diseases: heart disease, diabetes, hypertension, stroke, pulmonary conditions (asthma/COPD), cancer and depression.
  • Innovative approaches to addressing value-based care imperatives: These Applications provide clients with new tools they can use to make the transition to value based care; for example, reduced 30-day readmission rates; improved transitions of care; delivering evidence-based guidelines to the point of care; enhanced patient engagement (i.e. remote monitoring, self-management, healthy lifestyles); personalized medicine and/or population health analytics.

The Challenge has two separate phases, Phase 1 “Start a Revolution” and Phase 2 “Exceptional Outcomes.” Phase 1 of the Challenge begins at 5:00 p.m. Pacific Time on Monday, October 8, 2012 and ends at 5:00 p.m. Pacific Time on Sunday, February 3, 2012 (the “Phase 1 Challenge Period”). Phase 2 of the Challenge begins at 5:00 p.m. Pacific Time on Monday, March 20, 2013 and ends at 5:00 p.m. Pacific Time on Sunday, July 14, 2013 (the "Phase 2 Challenge Period"). “Challenge Period” shall refer to the Phase 1 Challenge Period or the Phase 2 Challenge Period, as applicable. Entry into the Challenge does not constitute entry into any other challenge or promotion, including, without limitation, other similar challenges or promotions offered by Sponsor and/or Administrator. By participating in the Challenge, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, Administrator, and/or the individual judges, which shall be final and binding in all respects.

ELIGIBILITY: The Challenge is open to companies that have been incorporated in and maintain a primary place of business in the United States of America. If entering an Application that only integrates with Enterprise EHR and/or Professional EHR (and not the Sunrise Clinical Manager suite of products via the Helios SDK), the Challenge is also open to individuals (whether participating alone or as part of a team) who are citizens or permanent residents of the U.S. and are 18 years old or older as of their time of entry. Individuals permitted above may enter either alone or as part of a team. Teams must include no less than two (2) people and each team member must be clearly identified on the team's Official Entry Form to be eligible. Further, each Phase 2 entrant must also be capable, as determined by Sponsor in its sole discretion, of responsibly testing, supporting and marketing an Application, including without limitation having necessary financial resources. U.S. Federal entities or U.S. Federal employees acting within the scope of their employment are not eligible to participate in the Challenge. Employees of Sponsor, Administrator, each of their affiliates, and/or any other individual or entity associated with the development, judging, or administration of the Challenge as well as members of such persons' immediate families (spouses, children, siblings, parents), and persons living in the same household as such persons, whether or not related, are not eligible to participate in the Challenge.

HOW TO ENTER: To enter go to the website located at www.health2challenge.org (the "Challenge Website"), complete the Official Entry Form, and submit your “Submission” materials as required below according to the instructions posted on the Challenge Website. Phase 1 and Phase 2 of the Challenge each has its own “Submission Requirements.” Each Submission that is entered into the Challenge must meet the following Submission Requirements:

PHASE 1 – Each entrant must submit (1) an Application that meets the requirements described under Challenge Description above, (2) a .pdf presentation with 15 or fewer slides describing how the Application meets the Phase 1 Evaluation Criteria, and (3) a five-minute video hosted on Youtube or Vimeo demonstrating the Application in action.

PHASE 2 -- Each entrant must (1) have submitted an Application to Phase 1 of the Challenge and been judged without disqualification, (2) submit a .pdf presentation with 15 or fewer slides describing how the Application meets the Phase 2 Evaluation Criteria, (3) submit a five-minute video hosted on Youtube or Vimeo demonstrating the Application in action, and (4) execute and submit the “Allscripts Developer Program Agreement,” a copy of which is available from Sponsor or Administrator upon request.

Any Submission that, in Sponsor's sole discretion, fails to meet the Submission Requirements will be disqualified. An Application website is optional. Once a Submission is made, an entrant is prohibited from making any changes or alterations to the Application described in its Submission until the evaluation of the entries is completed.

Each Submission must be received during the applicable Challenge Period to be eligible. Administrator is the official timekeeper for the Challenge. No substitutions of new versions of Submissions will be accepted under any circumstances once the original Submission is submitted for consideration. In the event of a dispute regarding the identity of the individual or team who actually submitted the entry cannot be resolved to Sponsor's and/or Administrator's satisfaction, the affected entry will be deemed ineligible. Except as otherwise stated in these Official Rules, personal information collected in connection with the Challenge will be used by Sponsor in accordance with Sponsor’s privacy policy available at http://www.allscripts.com/en/privacy-policy.html and by Administrator in accordance with Administrator's privacy policy available on the Challenge Website and with any additional consent given by an entrant at the time of entry. All entry information and materials, including any copy of the Submission submitted to Sponsor, become the property of Sponsor and will not be acknowledged or returned. Proof of submission is not considered proof of delivery to or receipt of such entry. Furthermore, Sponsor and Administrator shall have no liability for any Submission that is lost, intercepted, or not received by Sponsor and/or Administrator. Sponsor and Administrator assume no liability or responsibility for any error, omission, interruption, deletion, theft, or destruction or unauthorized access to, or alteration of, Submissions.

REPRESENTATIONS AND WARRANTIES/INDEMNIFICATION: By participating in the Challenge, each entrant represents, warrants, and covenants as follows: (a) entrant is the sole author, creator, and owner of the Submission; (b) the Submission is not the subject of any actual or threatened litigation or claim; (c) the Submission does not and will not violate or infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party; (d) the Submission does not and will not contain any harmful computer code (sometimes referred to as "malware," "viruses" or "worms"); and (e) the Submission, and entrants use of the Submission, does not and will not violate any applicable laws or regulations, including, without limitation, applicable privacy, data security and export control laws and regulations of the U.S. and other jurisdictions. If the Submission includes any third party works (such as third party content or open source code), entrant must be able to provide, upon Sponsor and/or Administrator's request, all appropriate licenses and releases for such third party works. In the event entrant cannot provide all required licenses and releases, Sponsor reserves the right, in Sponsor's sole discretion, to disqualify the applicable Submission, or seek to secure the licenses and releases for Sponsor's benefit and allow the applicable Submission to remain in the Challenge. ENTRANTS WILL INDEMNIFY, DEFEND, AND HOLD HARMLESS SPONSOR AND ADMINISTRATOR FROM AND AGAINST ALL THIRD PARTY CLAIMS, ACTIONS, OR PROCEEDINGS OF ANY KIND AND FROM ANY AND ALL DAMAGES, LIABILITIES, COSTS, AND EXPENSES RELATING TO OR ARISING FROM ENTRANT'S SUBMISSION OR ANY BREACH OR ALLEGED BREACH OF ANY OF THE REPRESENTATIONS, WARRANTIES, AND COVENANTS OF ENTRANT HEREUNDER. SPONSOR AND/OR ADMINISTRATOR RESERVES THE RIGHT TO DISQUALIFY ANY SUBMISSION THAT SPONSOR AND/OR ADMINISTRATOR, IN ITS SOLE DISCRETION, DEEMS TO VIOLATE THESE OFFICIAL RULES.

ALLSCRIPTS LIMITED DEVELOPMENT LICENSE: Conditioned upon compliance with the terms and conditions of these Official Rules, Sponsor grants to entrant a limited, non-exclusive, non-transferable, license to use Sponsor software, tools, code, technology, documentation (including code samples, information or other instructions for using the Helios SDK or Unity Sandbox as provided by Sponsor), stored procedures, Confidential Information, or other materials, including without limitation materials and information accessed via Sponsor’s password protected websites or otherwise provided to entrant pursuant to these Official Rules, including materials and information about the Helios SDK or Unity SDK (defined as a set of web services based APIs used to exchange data with Enterprise EHR and/or Professional EHR) (collectively, “Software”) solely for the purpose of internally developing and incorporating the interface for the Submission and creating a Submission for purposes of this Challenge. ENTRANTS SHALL BE LIMITED TO INTERNAL USE FOR THE PURPOSE OF DEVELOPING A SUBMISSION FOR THIS CHALLENGE, WHICH WILL BE DEVELOPED TO ENABLE ONE OR MORE OF ENTRANTS MEDICAL DEVICES OR APPLICATIONS TO INTERFACE WITH THE SUNRISE CLINICAL MANAGER SUITE OF PRODUCTS, ENTERPRISE EHR AND PROFESSIONAL EHR. THE DISTRIBUTION OR LICENSING OF THE SUBMISSION OR ANY INTERFACE DEVELOPED BY THE ENTRANT OR ITS AFFILIATES OR RESELLERS IN ANY OTHER FORM IS STRICTLY PROHIBITED EXCEPT AS ENTRANT MAY BE PERMITTED UNDER A FULLY EXECUTED ALLSCRIPTS DEVELOPER PROGRAM AGREEMENT. Entrant agrees not to reverse engineer, disassemble, decompile or otherwise discover the source code to any Software supplied by Sponsor in binary form. Entrant agrees that except for the limited rights explicitly granted hereunder, Sponsor retains all rights title and interest in and to the Software. No other rights are or shall be granted to entrants, including by implication, estoppel or otherwise. The Software contains material that is protected by intellectual property laws arising or enforceable under U.S. law, foreign law, or international treaty regime including patent, copyright and trade secret laws. You agree not to remove any copyright or proprietary notices of Sponsor from any copy of the Software. The rights and licenses granted by Sponsor herein are personal to you, and may not be assigned, sublicensed, or otherwise transferred. Any attempted assignment, sublicensing or delegation will be null and void, and shall automatically terminate all rights you have under these Official Rules.

SUBMISSION LICENSE: EXCLUDING THE SOFTWARE LICENSED BY SPONSOR TO ENTRANTS UNDER THE PROVISION ENTITLED “ALLSCRIPTS LIMTED DEVELOPMENT LICENSE” ABOVE, EACH ENTRANT RETAINS TITLE AND FULL OWNERSHIP IN AND TO THEIR SUBMISSION. ENTRANT EXPRESSLY RESERVES ALL INTELLECTUAL PROPERTY RIGHTS NOT EXPRESSLY GRANTED UNDER THESE OFFICIAL RULES. By participating in the Challenge, each entrant hereby irrevocably grants to Sponsor and Administrator a limited, non-exclusive, royalty free, fully paid up, worldwide, license and right to use the Submission to the extent necessary to administer the Challenge, and to publically perform and publically display the Submission, including, without limitation, for advertising and promotional purposes relating to the Submission and the Challenge.

CONFIDENTIALITY: For the purpose of these Official Rules, “Confidential Information” means: (a) any information of Sponsor, including, without limitation, the Software, pre-release materials, and any other information, in tangible or intangible form relating to Sponsor’s current and planned products and services, technology, techniques, know-how, research, engineering, designs, finances, accounts, procurement requirements, manufacturing, customer lists, business forecasts and marketing; and (b) any other Sponsor information that is disclosed orally or in writing that is marked or identified as “Confidential” or by its nature should reasonably be considered confidential. Confidential Information does not include information that is or becomes publicly available except by an act by you or is independently developed by you without reference to the Confidential Information disclosed in connection with the Challenge and you can so prove. You will maintain the Confidential Information in confidence, and shall protect it in a manner that is at least as protective as with your own confidential information, but in no case less than commercially reasonable care. You may not disclose any Confidential Information to any other person or entity, except your full time employees that are bound to comply with these terms. You will use the Confidential Information only as authorized under these Official Rules. You shall immediately notify Sponsor of any unauthorized access or use of any portion of the Confidential Information. Upon request, you will return the Confidential Information to Sponsor or certify its destruction. Without limiting the foregoing, the Sponsor makes no representations and gives no warranties of any kind regarding the Confidential Information.

PUBLICITY RELEASE: By participating in the Challenge, in addition to any other grants granted herein or which may be granted in any other agreement entered into between Sponsor and/or Administrator, on the one hand, and any entrant in the Challenge, on the other hand, each entrant hereby irrevocably (a) grants to Sponsor and Administrator the right to use such entrant's name, likeness, image, and biographical information in any and all media for any purpose, including, without limitation, advertising and promotional purposes relating to the Challenge and (b) releases Sponsor and Administrator from any liability with respect thereto.

WINNER SELECTION/EVALUATION CRITERIA: A review panel will select fifteen (15) winning Submissions from among all eligible entries for Phase 1 and 5 winning Submissions from among all eligible entries for Phase 2 based on the following “Evaluation Criteria”:

  • Positive clinical, financial or performance management impact demonstrated by Allscripts client as a result of using Application

The Evaluation Criteria are to be applied in the sole discretion of Sponsor and the individual reviewers. By participating in the Challenge, each entrant into the Challenge acknowledges and agrees that such evaluations may differ from person to person and agrees to be bound by and not challenge the final decisions of Sponsor and the individual reviewers.

NOTICE TO WINNERS: Attempts to notify potential winners will be made using the contact information provided on the winner's Official Entry Form. Sponsor and Administrator are not responsible for e-mail or other communication problems of any kind. If, despite reasonable efforts, a potential winner does not respond within five (5) days of the first notification attempt (or a shorter time as exigencies may require), or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected. If any potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the applicable prize for any reason prior to award, such potential prize winner will be disqualified and an alternate winner may be selected. Sponsor may successively attempt to contact up to two (2) potential prize winners in accordance with such procedure, and if there is still no confirmed prize winner after such attempts have been made, if any, the applicable prize may go unawarded.

ANTICIPATED NUMBER OF ENTRANTS: Many will enter. Fifteen (15) Submissions will be selected as winners for Phase 1 of the Challenge and five (5) Submissions will be selected as winners for Phase 2 of the Challenge. Actual odds of winning depend on the number of eligible entries received. Sponsor and Administrator cannot accurately predict the number of entrants who will participate in the Challenge, and reserves the right to select fewer or no winners in any category if there are not enough eligible entries in such category.

PRIZES: In Phase 1, fifteen (15) prizes of $10,000 USD will be offered. In Phase 2, one (1) prize of $250,000 USD, two (2) prizes of $100,000 USD and two (2) prizes of $75,000 will be offered.

GENERAL PRIZE CONDITIONS: The potential winner may be required to execute an Affidavit of Eligibility, a Liability Release and (where imposing such condition is legal) a Publicity Release (collectively "Prize Claim Documents). If a winner fails or refuses to sign and return all Prize Claim Documents within five (5) days of Sponsor's and/or Administrator's request (or a shorter time as exigencies may require), the winner may be disqualified and an alternate winner may be selected. No more than the advertised number of prizes will be awarded. Prizes will be delivered only to an address in the U.S. No cash alternative or substitution or transfer of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prizes of comparable value, in whole or in part, for any reason. THE WINNER IS RESPONSIBLE FOR REPORTING AND PAYING ANY INCOME TAXES OR OTHER TAXES THAT MAY APPLY TO ACCEPTING A PRIZE; SPONSOR AND ADMINISTRATOR ARE NOT RESPONSIBLE FOR AND WILL NOT PAY ANY SUCH TAXES.

DATES/DEADLINES: Because of the unique nature and scope of the Challenge, Sponsor and Administrator reserve the right, in addition to those other rights reserved herein, to modify any dates or deadlines set forth in these Official Rules or otherwise governing the Challenge.

GENERAL LIABILITY RELEASE/FORCE MAJEURE: EACH ENTRANT AGREES THAT SPONSOR AND ADMINISTRATOR (A) SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSSES, DAMAGES, OR INJURIES OF ANY KIND (INCLUDING DEATH) RESULTING FROM PARTICIPATION IN THE CHALLENGE OR ANY CHALLENGE-RELATED ACTIVITY, OR FROM ENTRANTS' ACCEPTANCE, RECEIPT, POSSESSION, USE, OR MISUSE OF ANY PRIZE, AND (B) HAVE NOT MADE ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WITH RESPECT TO ANY PRIZE, INCLUDING, WITHOUT LIMITATION, REGARDING SUCH PRIZE'S MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ENTRANTS WILL INDEMNIFY, DEFEND, AND HOLD HARMLESS SPONSOR AND ADMINISTRATOR FROM AND AGAINST ALL THIRD PARTY CLAIMS, ACTIONS, OR PROCEEDINGS OF ANY KIND AND FROM ANY AND ALL DAMAGES, LIABILITIES, COSTS, AND EXPENSES RELATING TO OR ARISING FROM ENTRANT'S PARTICIPATION IN THE CHALLENGE. Sponsor and Administrator assumes no responsibility for any damage to an entrant's computer system which is occasioned by accessing the Challenge Website, using the Software or other Challenge-related websites or participating in the Challenge, or for any computer system, phone line, hardware, software, or program malfunctions, or other errors, failures, delayed computer transmissions, or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor and Administrator are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, postage-due, damaged, or stolen entries or prize notifications; or for lost, interrupted, inaccessible, or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone, cable transmissions or other communications; or for any technical malfunctions, failures, difficulties, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor and Administrator each reserve the right in their sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Challenge, Software, Challenge Website or other Challenge-related websites, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Challenge, or to annoy, abuse, threaten, or harass any other person, and Sponsor and Administrator each reserve the right to seek damages and other remedies from any such person to the fullest extent permitted by law. In the event an insufficient number of eligible entries are received or Sponsor and/or Administrator is prevented from awarding the prize or continuing with the Challenge as contemplated herein by any event beyond its control, including, without limitation, fire, flood, natural or man-made epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor's control ("Force Majeure"), Sponsor and/or Administrator shall have the right to modify, suspend, or terminate the Challenge. If the Challenge is terminated for Force Majeure before expiration of the applicable Challenge Period, Sponsor and/or Administrator will (if reasonably possible) select a winner from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with the law by a duly authorized representative of both Sponsor and Administrator. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION, AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS, SPONSOR AND/OR ADMINISTRATOR IN CONNECTION WITH THE CHALLENGE SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF ILLINOIS WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAWS RULES OR PROVISIONS. ANY LEGAL CLAIMS ARISING FROM OR RELATING TO THE CHALLENGE OR THESE OFFICIAL RULES MUST BE BROUGHT IN THE APPROPRIATE COURTS LOCATED IN COOK COUNTY, ILLINOIS.
